1. Acceptance of Terms

By accessing or using the Services, you agree to comply with and be bound by these Terms of Service. If you are using the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree to these terms, do not use the Services.

2. Use of the Services

You may use the Services for lawful business purposes only. You agree not to:

• Violate any applicable laws or regulations.
• Engage in any activity that could damage, disable, or impair the Services or interfere with another user's ability to use the Services.
• Attempt to gain unauthorized access to any account, system, or data.
• Reverse engineer, scrape, or resell any part of the Services without our written permission.

3. Account Registration and Device Pairing

To access most features you must create an account and may be invited to a company workspace by an administrator. You agree to provide accurate and complete information and to keep your credentials confidential.

The ClearLevel iPad app connects to your account using a one-time pairing code generated from the web application. You are responsible for any device you pair and for ending a session (via Disconnect) on devices you no longer control.

4. Customer Content

You retain all rights to the documents, drawings, bids, project data, and other content you upload or create using the Services (“Customer Content”). You grant us a limited license to host, process, and display Customer Content solely to provide and improve the Services. You are responsible for ensuring you have the rights necessary to upload and process Customer Content.

5. Intellectual Property

All software, text, graphics, logos, and other materials that make up the Services are owned by or licensed to ClearLevel and are protected by intellectual property laws. Except for Customer Content, you may not copy, distribute, or modify any part of the Services without our permission.

6. Fees and Payment

Access to the Services may be subject to subscription or other fees as agreed in your order or plan. You agree to provide accurate billing information. All fees are subject to applicable taxes, and prices may change with notice as permitted by your agreement with us.

7. Limitation of Liability

To the maximum extent permitted by law, ClearLevel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business arising from your use of the Services, even if advised of the possibility of such damages.

8. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that the Services will be uninterrupted, error-free, or that any content, including bid analysis, will be accurate or complete.

9. Termination

We may suspend or terminate your access to the Services if you violate these Terms of Service or use the Services in a way that may cause harm. You may stop using the Services at any time, and you may request account deletion by contacting us.

10. Changes to These Terms

We reserve the right to update or modify these Terms of Service at any time. Any changes will be posted on this page and the “Last Updated” date will be revised. Your continued use of the Services after changes take effect constitutes acceptance of the updated terms.

11. Governing Law

These Terms of Service are governed by the laws of the State of California, without regard to its conflict of law principles. Any disputes will be resolved in the appropriate state or federal courts located in California.
